1. Acceptance of Terms

By accessing or using Daxo's API services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Daxo provides a B2B data API that enables customers to access real-time professional and company data. Our Services include API access, documentation, and customer support as described on our website.

3. Account Registration

To use our Services, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your API keys and account credentials
  • Promptly notify us of any unauthorized access or security breaches
  • Be responsible for all activities that occur under your account

4. Trial Balance and Pricing

New accounts receive a $10 trial balance to test our API at default rates. Production pricing, including per-request rates and requests-per-second (RPS) limits, are customized based on your monthly volume and specific requirements. Trial balances are non-transferable and may expire.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to circumvent rate limits, authentication, or security measures
  • Resell, redistribute, or sublicense access to the API without our written consent
  • Use the data to discriminate against individuals or for purposes that violate their privacy rights
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to our systems or networks

6. Data Usage and Compliance

You are responsible for ensuring your use of data obtained through our Services complies with all applicable laws, including data protection and privacy regulations such as GDPR and CCPA. You must implement appropriate technical and organizational measures to protect any personal data accessed through our API.

7. Intellectual Property

The Services, including our API, documentation, and any software, are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, or reverse engineer any part of our Services.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance and reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Daxo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services. Our total liability shall not exceed the amounts paid by you to Daxo in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Daxo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of third parties.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services will cease, and you must destroy any cached data obtained through our API.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through our website or by email. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction.
